Advice on Company Law and Procedures
The Firm advises and gives opinions on various aspects of the Companies Act, 1956 which includes inter alia the composition of Board of Directors and Control of the Company, issues relating to Share Capital, Mortgage and Hypothecation, Voluntary Winding Up of Companies and Mergers and Acquisitions.

Company Formations
The Firm has advised and guided several foreign clients with company incorporation formalities and procedures in India. The Firm has assisted such foreign clients in setting up branch offices, liaison offices, project offices, joint venture companies and wholly owned subsidiaries in keeping with the Foreign Exchange Regulations. The Firm has also assisted several Indian clients in setting up companies in India.

Securities Issues
The Firm advises clients on the Securities and Exchange Board of India Act, 1992 and Regulation relating to Securities Market. Advice has been given on the Take Over Code, IPO, Venture Capital and Insider Trading.

Mergers & Acquisitions
The Firm has advised and given opinions to several clients regarding Mergers and Acquisitions including preparing the Scheme of Amalgamation with a Chartered Accountant for the ratio of Shares to be exchanged and preparing for the proceedings thereof. A large company has mandated the Firm with private equity for the acquisition of a prestigious hotel in Mumbai. The deal is over INR 3 Billion. The Firm has also advised a leading Indian Pharma Packing Company on equity investment. The Firm has assisted and advised its clients in matters relating to demergers, share-swaps, stock option schemes, stocks and assets, etc. in relation to mergers and acquisitions’ deals.

Asset Purchase
The Firm has advised a leading Italian Multi-national Company in Asset Purchase; Purchase of all Rights and Interests of a Heavy Engineering Company by a Multinational.

Takeovers & Amalgamations
The Firm strives to achieve smooth takeovers & amalgamations for its clients and does everything in its power to make this possible.

Trade Practices
The Firm is proficient with the regulations contained in the Monopolies and Restrictive Trade Practices Act and its main objective is to protect the clients’ interests against unfair trade practices.

Due Diligences
The Firm has carried out legal due-diligence for a multinational listed Indian Pharmaceutical Company for acquisition of shares in a leading Pharmaceutical Company in Andhra Pradesh. The Firm has also assisted the Company in conducting legal due-diligence for equity participation. The Firm had completed the due diligence for listing the GDR Issue for Wanbury at the Luxemburg Stock exchange and has completed the regulatory compliance with regard to the final offering circular, subscription agreement and deposit agreement. The Firm is assisting and advising an Italian Company for legal due diligence for deriving a fair value of shares as the Joint Venture has gone sour.

Commercial Agreements
The Firm undertakes the drafting of various Contracts like Share Purchase Agreements, Purchase of Business Agreement, Share Holder Agreements, Business Combination Agreements, Asset Purchase Agreements, Business Conducting Agreements, Management Consultancy Agreements, Service Agreements, sale and Purchase Agreements, Non-Competition Agreements, Supply and Distribution Agreemenst, Agency Agreements etc. The Firm also assisted a leading Pharmaceutical Company in Andhra Pradesh in drafting an Escrow Agreement for the pledging of Shares, Share Purchase Agreement and Technical Collaboration Agreement. The deal was worth over Rs. 100 Million.

Joint Ventures and Collaborations
The Firm has advised Foreign Companies by way of Project/ Site Office, Liaison / Representative office, Wholly Owned Subsidiary and Joint Ventures. The firm has set up temporary Project/Site offices/ Liaison offices and Branch Offices for Foreign Companies in India.  Specific approval from the RBI has been obtained for setting up such offices.

The Firm has incorporated a 100% Wholly Owned Subsidiary for a Foreign Company in India.  The work inter alia conducted by the Firm on behalf of the Foreign Company would be the Application to be filed with the Registrar of Companies including drafting of the Memorandum and Articles of Company. The Firm has set up the operation of several Foreign Companies in India by forging strategic alliances with Indian partners.  The Firm inter alia sources the Indian partner, negotiates the terms, drafts the Joint Venture Agreement and completes the process of incorporating the Company.

Disinvestments
If a company decides to disinvest, the Firm directs the company as to the procedure of going about it.

Corporate Governance
The Firm counsels and directs its Clients regarding the framing of rules and regulations of their respective companies in accordance with their provisions.

Environmental Clearances
The Firm has advised clients on issue related to the Environment and has obtained clearances for its clients.

Pharmaceutical Matters
The Firm has advised a leading Indian Pharmaceutical Packing Company on its equity investment. The Firm has also advised and assisted an Italian Pharmaceutical Manufacturing Company to shift its manufacturing base to India and outsource its Pharmaceutical products from a leading Pharmaceutical Company and has drafted supply agreements and Assignment of Trade Mark License Agreement for the company.
